Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Tech Hosters OÜ website (the “Site”) and any products or services offered by Tech Hosters OÜ (collectively, the “Services”). Tech Hosters OÜ (“we,” “us,” or “our”) is a company registered in Estonia (Company Number: 16922658, VAT: EE102873517).


Please read these Terms carefully before using our Site or Services. By accessing or using the Site or any Services, you agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy (which are incorporated herein by reference). If you do not agree with any part of these Terms, you must not use our Site or Services.

 

These Terms apply to all visitors, users, and customers of Tech Hosters, including individuals and entities who purchase our services or engage our team for projects. If you are using our Services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf, and “you” or “user” will refer to that organization.


Services Offered:

Tech Hosters provides a range of IT and digital services, including but not limited to:
- IT Support (e.g., server maintenance, Office 365 administration, Linux/Windows setup and support)
- AI & Automation (e.g., custom GPT-based solutions, no-code/low-code workflow automation using platforms like Make or Zapier)
- Web Development (e.g., custom frontend and backend development, WordPress and PHP development)
- Web Hosting (e.g., web hosting plans with various options, ongoing site maintenance, and 24/7 support for hosted websites)
- Digital Transformation (e.g., workflow optimization consulting, implementing tools like Odoo, Trello, ClickUp, as well as training and pilot programs)
- Design Services (e.g., branding, logo design, website UI/UX design, brochures and marketing materials)
- Mobile Development (e.g., building mobile applications using Flutter or native iOS/Android solutions)
- Data Analytics (e.g., data reporting, scripting, dashboards with Power BI or Google Looker, Google Analytics consulting, Python data processing)
- Training (e.g., hands-on professional training in digital transformation, AI, automation, data analytics, and IT operations)


These Terms govern your use of our Site and any general interactions. In case of any specific service agreements (for example, a separate Master Service Agreement, Service Level Agreement (SLA), or Data Processing Agreement (DPA) for a particular project), those specific terms will also apply. If there is a conflict between these general Terms and any signed agreement between you and Tech Hosters, the terms of the signed agreement will prevail.

User Accounts and Eligibility

Account Registration: Some of our Services may require you to create an account. You agree to provide accurate, current, and complete information and to update such information promptly if it changes. It is prohibited to use false information or impersonate another person or company.

 

Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for restricting access to your account. You agree to notify us immediately at legal@techhosters.com if you suspect any unauthorized use of your account.

 

User Eligibility: Our Site and Services are intended for users who are at least 18 years old. By using our Services, you represent that you have the legal capacity to enter into a binding contract.

Permissible Use of Services

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use our Site and Services for your internal business or personal purposes.

 

Prohibited Activities: You agree not to misuse our Site or Services. You must not engage in:


•       Illegal or Harmful Conduct: Using the Services for any unlawful purpose, or to transmit content that is illegal, fraudulent, defamatory, or promotes hate or violence.

•       Intellectual Property Infringement: Distributing content that infringes any third party’s intellectual property rights.

•       Malicious Activities: Introducing malware, viruses, or attempting to damage, disable, or overburden our servers or networks.

•       Unauthorized Access: Attempting to gain unauthorized access to any portion of our Site or systems through hacking or password mining.

•       Spam and Social Engineering: Sending unsolicited bulk communications or engaging in phishing.

 

Engaging in prohibited activities constitutes a material breach of these Terms and may result in immediate suspension or termination of your account.

Customer Data and Content

When you use our Services, you may provide or upload content, data, or materials (“Your Content”). You retain all rights and ownership of Your Content. We do not claim any ownership over materials or data you provide to us.

 

By providing Your Content, you grant us a limited license to use, reproduce, and process Your Content solely for the purpose of delivering the Services and fulfilling our contractual obligations to you.

 

Your Responsibilities: You are solely responsible for ensuring that you have all necessary rights in Your Content and that it does not violate any law. Tech Hosters is not responsible for any of Your Content. You agree to maintain backup copies of Your Content. Although we may perform routine backups for hosting clients, we do not guarantee that content will never be lost.

Intellectual Property Rights

All content and materials available on the Tech Hosters Site, including text, logos, graphics, and software, are the property of Tech Hosters OÜ or its licensors and are protected by intellectual property laws. “Tech Hosters” and our logo are trademarks of Tech Hosters OÜ. You are not permitted to use these marks without our prior written consent.

Fees, Payments, and Pricing

Service Fees: Some Services are provided for a fee. When you agree to purchase a service, you agree to pay the applicable fees. All fees are exclusive of any taxes (VAT, sales tax) unless stated otherwise.

 

Invoicing and Payment: We will invoice you for services on a one-time or recurring basis. By providing a payment method, you authorize us to charge the full amount of the fees. If payment is not received by the due date, we reserve the right to suspend or terminate the relevant Service.

 

Refunds: Unless otherwise specified in a specific service agreement or required by law, fees are non-refundable.

Suspension and Termination

We reserve the right to suspend or terminate your access to the Site or Services immediately and without prior notice if you breach these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, your right to use the Services will cease immediately.

“As Is” Disclaimer of Warranties

Tech Hosters OÜ provides its Site and Services on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

Limitation of Liability

To the maximum extent permitted by law, Tech Hosters OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business interruption arising out of your use of the Site or Services.

 

In all cases, Tech Hosters’ total aggregate liability for all claims related to the Services is limited to the total amount of fees you have paid to us for the specific Service in question in the three (3) months immediately preceding the event giving rise to the liability.

Indemnification

You agree to indemnify, defend, and hold harmless Tech Hosters OÜ from any claims, liabilities, damages, and expenses arising out of your violation of these Terms, your misuse of the Services, or Your Content infringing on third-party rights.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, excluding its conflict of law principles.

 

Jurisdiction: Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts located in Tallinn, Estonia. If you are a consumer resident in the European Union, you may have additional protections under mandatory provisions of the law of your country of residence.

Changes to These Terms

Tech Hosters may modify or update these Terms from time to time. We will provide reasonable notice of material changes by updating the “Last updated” date. Your continued use of the Services after revised Terms become effective constitutes your agreement to the updated Terms.
